This Digital Services Legal Framework explains the conditions that apply when accessing NOUS, NOUS Personal, NEURORDER digital services, artificial-intelligence features, subscriptions, internet-enabled services, application programming interfaces, payment services and associated online transaction-processing systems.

PART I

Introduction, scope and acceptance

General conditions governing access to NOUS and associated NEURORDER digital services.

PURPOSE

Purpose of these conditions

These Digital Services Legal Conditions govern access to and use of NOUS, NOUS Personal, NOUS Companion, NEURORDER websites, browser-based environments, digital applications, software services, artificial intelligence systems, online transaction-processing functions and related digital services.

They supplement NEURORDER's formally adopted Privacy Policy, Website Terms and Conditions, Cookie Policy, information-security requirements and any separate service-specific agreement entered into with a user, organisation, customer, institution or partner.

PARTIES

Who provides NOUS

NOUS is a digital technology service provided by NEURORDER (Pty) Ltd, a company incorporated in the Republic of South Africa.

References to "NEURORDER", "NOUS", "we", "our" or "us" in these conditions refer to NEURORDER (Pty) Ltd where the context requires.

References to "user", "you" or "your" refer to any person or authorised representative accessing or using NOUS or another covered digital service.

ACCEPTANCE

Electronic acceptance

By registering an account, continuing to use NOUS, starting a subscription, initiating a transaction or otherwise using the covered services, you acknowledge that electronic agreements and communications may have legal effect under applicable South African law.

If you do not agree with these conditions, you must discontinue use of the relevant service.

LEGAL CAPACITY

Eligibility

Users must have the legal capacity necessary to enter into the relevant agreement. Where a user is a minor or another person whose legal capacity is restricted, additional consent or supervision may be required by applicable law.

Certain services may additionally have age, institutional, professional or membership requirements.

REGISTRATION

Account information

Users must provide information that is reasonably accurate, current and sufficient for account registration and administration.

NEURORDER may require verification of certain information where necessary for security, fraud prevention, contractual compliance or regulatory obligations.

USERNAMES

Unique NOUS usernames

NOUS may permit users to select a unique username. Usernames are allocated subject to availability and may not impersonate another person, organisation, company, authority or protected brand.

NEURORDER may reserve, restrict, rename or remove a username where reasonably necessary to address impersonation, abuse, infringement, security or administrative requirements.

CREDENTIALS

Password and credential security

Users are responsible for protecting passwords, authentication links, verification codes, sessions and authorised devices associated with their accounts.

Passwords must not be shared with another person. NEURORDER will not ask users to provide their complete password through ordinary NOUS conversations.

ACCOUNT CONTROL

Suspension and restriction

NEURORDER may temporarily restrict or suspend access where reasonably necessary to protect a user, investigate suspicious activity, protect the service or comply with a legal obligation.

Permanent termination may occur in cases of serious abuse, unlawful conduct, fraudulent activity, repeated violations or material breach of applicable terms.

Artificial intelligence services

Conditions specifically applicable to NOUS AI, generated content, context and automated processing.

AI SERVICE

Nature of NOUS intelligence

NOUS uses artificial-intelligence systems and software infrastructure to interpret user requests and generate responses, summaries, recommendations, classifications, contextual explanations and other outputs.

Some functionality may rely on externally supplied models, APIs, cloud services, databases or other technology providers.

ACCURACY

AI output limitations

Artificial intelligence may generate inaccurate, incomplete, outdated or contextually inappropriate information.

Users should independently verify material information before relying on AI-generated output for important decisions.

NOUS does not guarantee that every generated response will be correct, complete or suitable for every purpose.

PROFESSIONAL INFORMATION

Not a substitute for professional advice

Unless expressly stated otherwise for a separately regulated service, NOUS output is general informational assistance and is not a substitute for qualified legal, medical, financial, accounting, investment, tax or other regulated professional advice.

Users remain responsible for obtaining appropriate professional assistance where their circumstances require it.

CONVERSATIONS

Prompts and conversation context

User prompts and conversation context may be processed where necessary to generate responses, continue conversations, provide account features, maintain history, detect abuse, diagnose technical failures and improve service reliability.

Users should avoid unnecessarily entering bank-card credentials, full passwords, authentication codes, government credentials or other secrets into ordinary AI conversations.

AUTOMATED PROCESSING

Responsible automation

NEURORDER seeks to design automated and AI-enabled systems in a manner consistent with responsible innovation, fairness, transparency, security and applicable legal requirements.

Where automated processing has a material effect on a user, additional information or contestability mechanisms may be made available where required by law or appropriate to the relevant service.

Rules governing network-based services, APIs, electronic communications and online transaction processing.

ONLINETPS

Online transaction-processing systems

For purposes of this framework, "OnlineTPS" means NOUS or NEURORDER technology used to initiate, record, transmit, verify, manage or support an online transaction, request, subscription, authentication event or related electronic process.

OnlineTPS is an internal descriptive term and does not represent a separate statutory category, banking licence or financial-services licence.

ELECTRONIC TRANSACTIONS

Digital instructions

Actions completed through NOUS interfaces may create electronic records including subscription requests, payment instructions, account changes, consent records and service requests.

Electronic records may be retained where reasonably necessary for account operation, evidentiary purposes, fraud prevention, dispute resolution or compliance with law.

INTERNET ACCESS

Network availability

NOUS is an internet-enabled service and requires compatible devices, browsers, networks and telecommunications infrastructure.

Performance may be affected by connection quality, internet-service providers, telecommunications outages, DNS failures, third-party infrastructure, browser restrictions, device limitations or other factors outside NEURORDER's reasonable control.

APIs

Application programming interfaces

NOUS may communicate with NEURORDER-controlled APIs and authorised third-party APIs to provide functionality.

APIs must not be used to circumvent access controls, scrape protected information, overload systems, access another user's data, reverse engineer protected services or conduct unauthorised automated activity.

Membership and recurring subscriptions

Terms for NOUS Free and paid monthly membership.

FREE MEMBERSHIP

NOUS Free

NOUS may provide a free level of service offering basic Companion access, Personal features and other functionality determined by NEURORDER.

Free features may be modified as the service develops, subject to applicable consumer rights.

PAID MEMBERSHIP

Monthly plans

Certain NOUS capabilities may require a paid monthly membership.

The applicable price, plan name and primary benefits will be displayed before a user initiates purchase.

Prices shown to South African users are ordinarily displayed in South African Rand unless otherwise indicated.

RECURRING BILLING

Subscription renewal

Where recurring billing is enabled, the user authorises the applicable payment provider to process future subscription charges in accordance with the selected plan, applicable mandate and payment-provider conditions.

Users remain responsible for ensuring that their chosen payment method remains valid where automatic renewal is used.

CANCELLATION

Ending future renewal

Users may cancel recurring membership through the available account or support process.

Cancellation ordinarily prevents future renewal. Access already paid for may remain available until the end of the applicable billing period unless otherwise required by law, the payment provider or the specific subscription arrangement.

Nothing in these terms removes rights provided by applicable South African consumer legislation.

REFUNDS

Refund requests

Refund eligibility depends on the circumstances, service supplied, applicable consumer law, contractual arrangement and payment-provider requirements.

NEURORDER may require information reasonably necessary to investigate duplicate transactions, payment errors, fraud allegations or service failures.

PART VI

Payment infrastructure

Conditions governing Yoco, card processing and external payment infrastructure.

YOCO

External payment processing

Where enabled, NOUS payments may be processed through Yoco and associated payment-processing infrastructure.

NEURORDER provides the NOUS digital service. Payment processing functions may be performed independently by Yoco, acquiring institutions, payment networks, banking partners or other authorised participants.

BANKING STATUS

NEURORDER is not a bank

NEURORDER does not represent itself as a bank, acquiring bank, card association, payment network or operator of South Africa's national payment infrastructure.

Payment services are provided through appropriate third-party infrastructure where those services are required.

CARD INFORMATION

Payment credentials

Users should enter card information only through the designated secure payment interface.

Users must not send complete card numbers, CVV security codes, online-banking passwords or banking authentication credentials through NOUS conversations or ordinary support messages.

Where checkout is hosted or controlled by a payment provider, NEURORDER does not require access to the user's complete card credentials.

AUTHORISATION

Payment verification

Transactions may be subject to authorisation, authentication, fraud checks, bank approval, network rules, acquiring requirements and other verification procedures outside NEURORDER's direct control.

A payment may therefore be delayed, declined, reversed or investigated even where NOUS itself is operating normally.

Privacy and personal information

How NEURORDER processes and protects information in connection with NOUS.

POPIA

Personal-information framework

NEURORDER processes personal information in accordance with applicable South African privacy legislation, including the Protection of Personal Information Act where applicable.

Processing activities are also governed by the company's formally adopted Privacy Policy and related internal governance controls.

INFORMATION COLLECTED

Categories of information

Information processed by NOUS may include account identifiers, profile information, usernames, email addresses, preferences, technical information, device information, usage information, support records, AI conversations and transaction-related records.

Additional information may be collected where necessary for a specific service and where a lawful basis exists.

PURPOSE

Why information is processed

Personal information may be processed to provide NOUS, authenticate accounts, maintain conversation history, administer memberships, process support requests, prevent abuse, improve reliability, perform research where lawfully authorised and meet legal obligations.

Information will not knowingly be used for an incompatible purpose without an appropriate lawful basis.

INFORMATION SHARING

Service providers and operators

NEURORDER does not sell, rent or trade personal information as a commercial data product.

Information may be provided to authorised service providers such as hosting providers, cloud infrastructure providers, payment processors, professional advisers, software suppliers and other operators where reasonably necessary for the service and permitted by law.

INTERNATIONAL PROCESSING

Cross-border infrastructure

Internet and cloud services may involve processing or storage infrastructure located outside South Africa.

Where personal information is transferred across borders, NEURORDER will seek to apply safeguards appropriate to the circumstances and applicable legal requirements.

RETENTION

How long information is kept

Information is retained only for as long as reasonably necessary for the relevant purpose, contractual obligations, security requirements, dispute resolution, accounting, regulatory obligations or legal claims.

Information may then be deleted, destroyed or anonymised where appropriate.

USER RIGHTS

Access, correction and objections

Applicable law may give users rights to request access to personal information, request correction or deletion in appropriate circumstances, object to certain processing, withdraw consent where applicable and lodge complaints with a competent authority.

These statutory rights are not removed by this Digital Services Legal Framework.

PART VIII

Cybersecurity and platform protection

Technical safeguards, user responsibilities, investigations and incident handling.

CYBER RISK

Persistent and evolving threats

Cybersecurity threats are persistent, global and continuously evolving.

NEURORDER therefore treats cybersecurity as an ongoing operational responsibility rather than a one-time technical measure.

SAFEGUARDS

Reasonable security measures

NEURORDER implements technical and organisational safeguards designed to reduce the risk of unauthorised access, alteration, loss, destruction or unlawful processing.

Measures may include authentication controls, database permissions, role-based access, encryption where appropriate, secure network communication, logging, monitoring, vulnerability management, backups and incident-response procedures.

NO ABSOLUTE GUARANTEE

Security cannot be absolute

No internet-connected service, API, telecommunications network, cloud environment, browser, database or device can reasonably be guaranteed to be immune from every cybersecurity threat.

Security measures reduce risk but cannot eliminate all possible risks arising from malicious actors, unknown vulnerabilities, compromised third parties or user-device security failures.

USER RESPONSIBILITY

Shared digital responsibility

Users must take reasonable precautions to protect their own devices, credentials, networks, authentication methods and personal information.

Users should keep operating systems and browsers updated, use secure credentials and report suspected account compromise promptly.

PROHIBITED ACTIVITY

Cyberattacks and system interference

Users may not attempt unauthorised access, security bypass, credential theft, malicious automation, denial-of-service activity, malware distribution, unauthorised scraping, exploit deployment, destructive testing or interference with NOUS, NEURORDER or connected infrastructure.

Security research affecting production services requires prior written authorisation unless otherwise permitted by applicable law.

INVESTIGATIONS

Suspected misconduct

Where fraud, cybercrime, unauthorised access, malicious interference, payment abuse, credential compromise or other unlawful conduct is reasonably suspected, NEURORDER may preserve relevant records and temporarily restrict affected accounts or systems.

NEURORDER may conduct an internal investigation and may use appropriately qualified external specialists where required.

LAW ENFORCEMENT

SAPS and competent authorities

Where appropriate or required by law, suspected criminal activity may be reported to the South African Police Service, the Directorate for Priority Crime Investigation, regulators, courts or another competent authority.

NEURORDER may cooperate with lawful investigations, warrants, court orders and regulatory requests while continuing to apply applicable privacy and procedural safeguards.

PART IX

Intellectual property and acceptable use

Protection of NOUS, NEURORDER systems, technology, branding and software.

OWNERSHIP

NEURORDER intellectual property

Software, interfaces, source code, databases, algorithms, research, designs, branding, logos, documentation, protected datasets and other intellectual property used in NOUS remain the property of NEURORDER or their applicable licensors.

Access to NOUS does not transfer ownership of that intellectual property to the user.

REVERSE ENGINEERING

Protected systems

Except where expressly permitted by law or written agreement, users may not reverse engineer, decompile, disassemble, circumvent or attempt to derive protected source code, proprietary infrastructure or confidential system logic.

USER CONTENT

Content submitted to NOUS

Users remain responsible for ensuring that material they submit does not unlawfully infringe another person's rights or violate applicable law.

The submission of content does not automatically transfer ownership to NEURORDER. However, processing permission may be required to provide the requested NOUS service.

Third-party services and infrastructure

External providers that may participate in delivery of NOUS services.

THIRD PARTIES

Independent service providers

NOUS may depend upon independent service providers for payment processing, cloud hosting, internet infrastructure, email, authentication, analytics, artificial intelligence and related services.

Those providers may operate under their own terms, privacy policies, technical conditions and legal obligations.

EXTERNAL OUTAGES

Third-party availability

NEURORDER cannot guarantee the uninterrupted availability of infrastructure operated by an independent third party.

Where a third-party outage affects NOUS, NEURORDER may take reasonable steps to restore functionality, communicate a material service issue or use alternative infrastructure where appropriate.

Professional and legal advisers

Legal representation, confidentiality and professional privilege.

PROFESSIONAL ADVISERS

South African and international advice

NEURORDER may retain legal and professional advisers within South Africa and internationally in relation to corporate governance, technology, privacy, intellectual property, cybersecurity, commercial agreements, disputes and other matters.

International advice may include advisers located in Europe or other jurisdictions where relevant to the company's commercial activities.

CONFIDENTIALITY

Identity of advisers

NEURORDER is not required to publicly disclose the identity of every legal adviser, law firm, consultant or professional adviser it engages unless disclosure is required by law, regulation, court process or a binding contractual obligation.

Confidentiality may be maintained to preserve legal professional privilege, professional confidentiality, operational security and legitimate commercial interests.

Service availability and liability

Operational limitations and preservation of statutory rights.

AVAILABILITY

No uninterrupted-service guarantee

NEURORDER aims to provide reliable access but does not warrant that NOUS will be available without interruption at every moment.

Maintenance, upgrades, security patches, external outages, force-majeure events or other reasonable operational circumstances may affect availability.

USER DECISIONS

Responsibility for actions

Users remain responsible for decisions they make, transactions they authorise and instructions they submit through their accounts.

Nothing in this provision excludes liability that cannot lawfully be excluded.

CONSUMER RIGHTS

Statutory protections remain

Where a user qualifies as a consumer under applicable South African consumer legislation, statutory rights that cannot legally be waived, restricted or excluded remain available.

These conditions must be interpreted consistently with those mandatory protections.

Electronic Communications and Transactions Act

Electronic communications and transactions involving NOUS are subject, where applicable, to the Electronic Communications and Transactions Act 25 of 2002.

The Act forms part of South Africa's legal framework for electronic communications, electronic records, online transactions and related consumer protections.

POPIA

Protection of Personal Information Act

NEURORDER's processing of personal information is subject to the Protection of Personal Information Act 4 of 2013 where applicable.

The company's privacy programme is intended to support lawful processing, accountability, information quality, openness, security safeguards and data-subject participation.

Access to information

Requests for access to applicable company records may be governed by the Promotion of Access to Information Act 2 of 2000 and NEURORDER's PAIA processes.

Consumer Protection Act

Where applicable, paid NOUS services are provided subject to mandatory protections under the Consumer Protection Act 68 of 2008.

Membership, cancellation, disclosure, pricing and refund practices must be read consistently with any rights that apply to the relevant consumer and transaction.

CYBERCRIMES

Cybercrimes Act

Unlawful access, interception, interference, malicious data activity and other cyber-related conduct may fall within the Cybercrimes Act 19 of 2020 or other applicable criminal legislation.

NEURORDER reserves all lawful rights and remedies available in response to malicious activity directed at its systems, users or infrastructure.

FINANCIAL FRAMEWORK

Financial-sector legislation

Financial or FinTech functionality may additionally be subject to legislation, regulatory requirements and payment-system rules applicable to the specific service being provided.

This may include the Financial Sector Regulation Act 9 of 2017, National Credit Act 34 of 2005 and other financial-sector requirements where applicable to the relevant activity.

Reference to these laws does not represent that every NOUS function constitutes a regulated financial service.

General contractual provisions

Final provisions governing interpretation, amendment and enforcement.

CHANGES

Updates to these conditions

NEURORDER may update this framework as NOUS develops, legislation changes, new services are introduced or security and regulatory requirements evolve.

Material changes may be communicated through NOUS, the website, email or another appropriate channel.

SEVERABILITY

Invalid provisions

If a provision is found invalid or unenforceable, it may be severed or interpreted to the minimum extent necessary without automatically invalidating the remaining provisions.

NO WAIVER

Failure to enforce immediately

A failure or delay by NEURORDER to exercise a lawful right does not automatically constitute a permanent waiver of that right.

GOVERNING LAW

Republic of South Africa

Unless a mandatory legal rule requires otherwise, these conditions are governed by the laws of the Republic of South Africa.

The applicable court or dispute forum will be determined according to law and any valid jurisdiction provision contained in NEURORDER's formally adopted agreements.

These conditions are intentionally comprehensive because NOUS combines artificial intelligence, internet infrastructure, user accounts, digital communication, subscriptions, payments and personal information within a single digital environment.

Nothing in this framework is intended to remove a right that cannot lawfully be excluded under South African law.
